S-Corporation

The S-corporation, which requires the consent of all shareholders, is an entity that is

income shifting and passive income generation. S-corporation status, however, does not provide
the capacity to structure special allocations among its owners. Additionally, an S-corporation is
not available if a shareholder is a corporation, partnership, a non-resident alien, or certain
ineligible trusts. There are a host of other factors regarding a company’s converting to and out of
S-corporation status that must be addressed with precision planning.
